• Acted as the Issuer counsel and advised on the initial public offering and listing of shares of a manufacturer of steel products on the ACE Market of Bursa Malaysia.
• Assisted in the restructuring of the Malaysian subsidiaries of an MNC engaged in the manufacture of heating, ventilation and air conditioning systems which involved the target entities entering into a suite of business and share transfer agreements and a subsequent court merger.
• Represented a global payments systems company pursuant to their acquisition and restructuring of an e-wallet and payment solutions provider incorporated in the Cayman Islands with operations around the ASEAN region.
• Managed the buy-side legal due diligence process and attended to transaction documents when representing a major European semiconductor foundry on its proposed acquisition of a Malaysian semiconductor foundry.
• Acted for a large European private equity fund on its proposed acquisition of two leading pharmacy benefit managers in Malaysia.
• Acted as local counsel for an Australian enterprise software corporation on its acquisition of the Asian payroll solutions business of a British enterprise software corporation.
• Acted as local counsel for a major British private equity fund on their acquisition, at over USD 120m, of the software products business of an Indian-listed IT services company.
• Led the buy-side legal due diligence process when representing a major operator of serviced offices on the restructuring of its real estate portfolio and a proposed bolt-on acquisition of a Malaysia-based operator of shared working space.
• Represented a leading producer of optical lenses and instruments on its proposed acquisition of the largest retailer of optical products in Malaysia.
• Represented a European multinational coffee and tea company on its acquisition, at over USD 350m, of a manufacturer of food and beverages listed on Bursa Malaysia.
• Represented a Malaysian conglomerate on its acquisition, at over USD 500m, of a manufacturer of industrial products listed on Bursa Malaysia.
• Represented a Malaysian specialty chemicals manufacturer on its acquisition, at over USD 100m, of a manufacturer of speciality chemicals listed on Bursa Malaysia.

Tax & Trade

• Advised on the capital gains tax implications on Malaysian and foreign companies for various share and business transfers, capital reductions and winding-ups matters.
• Advised a multinational automotive group on the tax regime, including applicable import duty, excise duty, sales tax and services tax, and available tax incentives for investing in the automotive industry in Malaysia.
• Advised a manufacturer of medical instruments on the regulatory and licensing requirements, including the requirement to obtain a strategic trade permit, for the import and export of strategic items into the Port of Tanjung Pelepas.
