Yoke Wah is a Partner based in our Kuala Lumpur branch and appointed as the Head of the Risk Management Committee and Anti-Money Laundering (AMLA) Compliance Officer of the firm.

Multinational companies and corporations regularly seek her advice and representation in the sale and purchase transactions for all types of properties ranging from commercial, industrial, building, factory, and agricultural to residential. She frequently advises major developers in the drafting and negotiation of commercial leasing and tenancies.

Besides representing corporate clients, in large banking and commercial transactions, whereby she drafts, reviews, negotiates and comments on the transaction documents, Yoke Wah has vast experience in representing local and international financial institutions on assets and acquisition financing, rent to own as well as project financing for both domestic and cross border transactions.

EXPERIENCES:

  • Advised Furniweb Holdings Limited, a public company listed on the Stock Exchange of Hong Kong (“FHL”) and FHL’s wholly-owned subsidiary, PRG Land Sdn Bhd, on their acquisition of 50 units of condominium located at the project development known as Picasso Residence, from PRG Holdings Berhad, a public company listed on the Main Market of Bursa Malaysia, for a total consideration of RM61,982,000, and the consideration shall be partly paid in cash and issuance of new ordinary shares of FHL to PRG Holdings Berhad. This acquisition is a related party
    transaction as FHL is a 50.45%-owned subsidiary of PRG Holdings Berhad.
  • Advised Ahmad Zaki Sdn Bhd, a wholly-owned subsidiary of Ahmad Zaki Resources Berhad, a public company listed on the Main Market of Bursa Malaysia, on its acquisition of a piece of freehold industrial land located in Batang Kali, Selangor measuring approximately 19.26.
  • Advised a joint venture company on its acquisition of a piece of leasehold industrial land located in Sungai Karang, Kuantan, measuring 100 acres (located near the Malaysia China Kuantan Industrial Park) for a total consideration of RM15,246,000, and with a targeted total investment cost of RM1 billion.
  • Advised one of Malaysia’s largest conglomerates in relation to the development of the district cooling system solution premised on a build, own, operate and transfer concept at the development site of the Landlord by the tenant who will be renting such space within the development site, measuring approximately 4,500 square meters. 
  • Advised PTT Synergy Group Berhad, a property developer listed on the Main Market of Bursa Malaysia, on its strategic alliance with Oriental Material Handling (Malaysia) Sdn Bhd (OMH) to venture into the automated warehousing and total intralogistics solution segment in Malaysia and Southeast Asia. OMH is wholly owned by OMH Science Group Co Ltd, the largest intelligent logistic equipment manufacturer, and total intralogistics solutions provider in China. 
  • Advised PTT Synergy Group Berhad, a property developer listed on the Main Market of Bursa Malaysia, on its disposal of two pieces of freehold agricultural lands located in Beranang, Selangor measuring approximately 4.6159 hectares for a total cash consideration of RM4.755 million.
  • Advised a Chinese listed company specializing in aluminum and ferroalloy manufacturing, on its acquisition of industrial lands located at the Malaysia China Kuantan Industrial Park, for an undisclosed amount, with a targeted total investment cost of RM10 billion.
  • Advised a subsidiary of a China-based tyre maker, on its acquisition of industrial lands located at the Malaysia China Kuantan Industrial Park, for an undisclosed amount, which is set to be the largest tyre production base in Malaysia. 
  • Advised one of the largest steel manufacturing companies in Malaysia on its acquisition of industrial land measuring approximately 250 acres from a state-linked corporation for an undisclosed amount and another acquisition of industrial land within Malaysia China Kuantan Industrial Park measuring approximately 300 acres for an undisclosed amount. 
  • Advised a subsidiary of a property developer listed on the Main Market of Bursa Malaysia on its built-to-lease projects in Selangor and Johor, Malaysia.
  • Advised and prepared transaction documents for one of the leading and largest financers in Malaysia on its rent-to-own products offered to the public. 
  • Advised a financier in Malaysia for a syndicated facility of approximately RM 1.8 billion to one of the largest automotive companies in Malaysia. • Acted as Malaysian legal counsel for a cross-border syndicated loan granted by a financier in Shanghai, China to a developer in Malaysia.
