Profile

Kar Soon is a senior associate based in our Kuala Lumpur office. His areas of practice include Mergers and Acquisitions, Joint Ventures, Capital Markets and Corporate Advisory works.

Prior to joining Halim Hong & Quek, Kar Soon commenced his legal practice at a tier one corporate law firm in Malaysia where he was involved in a wide range of corporate transactions.

He has considerable experience in cross-border and domestic transactions across a broad spectrum of industries, and has experience in acquisitions, initial public offerings (IPOs), securities offerings and other general corporate exercises.

EXPERIENCES:

  • Advised a company, on its acquisition of a strategic stake in Metahub Industries Sdn Bhd, one of the largest metal recycling and industrial waste management company in Johor for an undisclosed significant consideration.
  • Advised TIZA Global Sdn Bhd (formerly known as Citaglobal Sdn Bhd) (“TIZA Global””) in connection with the proposed acquisition by Citaglobal Berhad (“Citaglobal”) of the entire stake in Citaglobal Engineering Services Sdn Bhd from TIZA Global for an indicative purchase consideration of RM140.0 million which was satisfied via the issuance of new ordinary shares in Citaglobal.
  • Advised Subang Sentral Development Sdn Bhd, a wholly-owned subsidiary of HCK Capital Group Berhad (listed on the Main Market of Bursa Malaysia Securities Berhad, the company evolved into a diversified group with its main focus on property development, K12 education and technology) in respect of the joint venture arrangement with the respective landowner and beneficial owner in connection with the revival of the abandoned Empire Remix 1 project located in Subang Jaya.
  • Advised on the establishment of an employee’s share option scheme by a listed issuer and subsequently the private placement of the shares of the listed issuer to a foreign investor, including transaction documentation drafting, legal and regulatory matters advisory, and negotiation of terms.
